REV Group, Inc. (NYSE:REVG) announced today an underwritten public
offering of 10,000,000 shares of common stock by certain selling
stockholders, subject to market conditions and other factors. REV Group
is not selling any shares of common stock in the offering, and REV Group
will not receive any proceeds from the offering by the selling
stockholders. In connection with the offering, the selling stockholders
intend to grant the underwriters an option to purchase up to 1,500,000
additional shares of common stock from the selling stockholders.

acting as joint lead book-running managers and representatives of the
underwriters for the proposed offering.
